Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 4, 2025, the Board of Directors of Winnebago Industries, Inc. (the “Company”) accepted the resignation of Jacqueline D. Woods effective that same date. Ms. Woods tendered her resignation in accordance with the Company’s Corporate Governance Policy as a result of a change in principal employment.
