Item 8.01 Other Events

On March 8, 2024, VSE Corporation issued a press release announcing that the Board of Directors declared a quarterly cash dividend of $.10 per share to be paid on May 16, 2024 to stockholders of record as of May 2, 2024. The Board of Directors approved the dividend on March 5, 2024. A copy of the press release is attached as Exhibit 99.1.

VSE CORPORATION DECLARES QUARTERLY CASH DIVIDEND

ALEXANDRIA, Va., March 8, 2024 – VSE Corporation (“VSE” or the “Company”) (NASDAQ: VSEC), a leading provider of aftermarket distribution and repair services, announced that the Company’s Board of Directors has declared a regular quarterly cash dividend of $0.10 per share of VSE common stock. The dividend is payable on May 16, 2024, to stockholders of record at the close of business on May 2, 2024.
