Item 8.01 – Other Events.

On November 4, 2025, Powell Industries, Inc. (NASDAQ: POWL) (the “Company”) issued a press release announcing that its Board of Directors declared a quarterly cash dividend of $0.2675 per share payable to shareholders of record at the close of business on November 19, 2025. This dividend will be paid on December 17, 2025. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Powell Industries Declares Quarterly Cash Dividend

HOUSTON — November 4, 2025 — Powell Industries, Inc. (NASDAQ: POWL), a leading supplier of custom engineered solutions for the management, control and distribution of electrical energy, today announced that its Board of Directors has declared a quarterly cash dividend on the Company’s common stock of $0.2675 per share. The dividend is payable on December 17, 2025, to shareholders of record at the close of business on November 19, 2025.
