Item 8.01. Other Events.

Churchill Downs Incorporated (the “Company”) regrets to report that on March 11, 2025, Ulysses L. Bridgeman, Jr., a member of the Company’s Board of Directors (the “Board”) since 2012, passed away. Mr. Bridgeman also served on the Nominating and Governance Committee. The Company is grateful for Mr. Bridgeman’s leadership, dedication and service and extends its deepest condolences to his family and friends.

In light of Mr. Bridgeman’s passing, the size of the Board will decrease from eight directors to seven, effective as of March 12, 2025 Pursuant to the requirements of the Securities Exchange Act of 1934, the registrant has duly caused this report to be signed on its behalf by the undersigned hereunto, duly authorized.
