ITEM 5.07 SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS.
On May 21, 2024, Veralto Corporation (the “Company”) held its 2024 annual meeting of shareholders. At the annual meeting, the Company’s shareholders voted on the following proposals:

1.To elect the three Class I directors named in the Company’s proxy statement to a three-year term expiring at the 2027 annual meeting of shareholders and until his or her successor is elected and qualified. Each nominee for Class I director was elected by a vote of the shareholders as follows:
